Theodore Boone is an Assistant General Counsel at Ernst & Young LLP (EY) and an Adjunct Professor and Georgetown University Law Center.  At EY Theodore Boone he advises on complex contractual, transactional and policy matters involving EY firms and operations throughout the globe. His work involves, among other matters, negotiating and drafting Strategic Alliance Agreements, Global Framework Agreements, Local Country Agreements, Software Implementation Agreements, Acquisition Agreements, Teaming Agreements, Subcontracts, Government Contracts, Master Services Agreements, Procurement Agreements and Licensing Agreements. Theodore Boone was recognized by EY as a top instructor for "EYU", EY's internal education program. Theodore Boone's work at EY includes advising on the balancing of commercial goals with legal risks. 

As an Adjunct Professor at Georgetown University Law Center Theodore Boone teaches a class on structuring, drafting and negotiating commercial contracts. The course focuses on the architecture of contracts and the principles, processes, techniques and negotiating strategies of drafting contracts.  The course educates students through a collaborative format of discussions, analysis of readings, drafting projects and negotiation simulations.  In the course students develop knowledge and skills related to contract structures, the purpose of contractual terms and the lawyer’s role in the deal-making process.
